Service provider: কোরসো টেক (Quorso Tech), a registered partnership firm in Bangladesh

Location: Bangladesh

Email: support@quorso.xyz

Overview

These Terms & Conditions ("Terms") govern your access to and use of PagePilot, including its mobile and web applications, AI-assisted customer response features, order verification tools, inventory management systems, and related sales automation services across supported messaging channels (including Facebook Messenger, WhatsApp, and Instagram).

PagePilot is operated by কোরসো টেক (Quorso Tech), referred to in these Terms as "Quorso Tech", "we", "us", or "our".

By creating an account, installing or using the PagePilot application, connecting a social media or messaging account, purchasing credits, or using any PagePilot service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately stop using the service.

1. Eligibility and Business Use

PagePilot is a business-to-business (B2B) tool designed for merchants, business owners, social-commerce sellers, and individuals legally authorized to operate a commercial business or sales page.

  • You must be at least 18 years old and legally capable of entering into binding contracts under the laws of Bangladesh (including the Contract Act, 1872).
  • If you are using PagePilot on behalf of a business, company, or partnership, you represent and warrant that you have the legal authority to bind that entity to these Terms.
  • You agree to provide accurate registration and business information, maintain the security and confidentiality of your account credentials, and use PagePilot exclusively for lawful commercial purposes.
  • You must hold all necessary rights, permissions, and administrative authority to connect any Facebook Page, Instagram Business account, WhatsApp Business account, product inventory, or third-party data source to PagePilot.
  • You are solely responsible for all activity conducted through your PagePilot account.

2. Scope of Service

2.1 Core Features

PagePilot provides AI-assisted social commerce and sales automation tools that may include:

  • Automated, AI-assisted customer replies on supported messaging channels (such as Facebook Messenger, Instagram Direct, and WhatsApp).
  • Product identification using product names, SKUs, product IDs, images, or other merchant-supplied data.
  • Automated retrieval and communication of product catalogue details, pricing, stock levels, and availability supplied by the merchant.
  • Automated delivery of merchant-configured payment links or payment instructions.
  • Automated recording of customer inquiries, order details, and initial order or payment verification inputs.
  • Inventory management, stock deduction tracking, and low-stock notifications.

Supported channels, integrations, and features may be modified, added, or discontinued as third-party platforms, technical requirements, and the service evolve.

2.2 Financial and Payment Role Disclaimer

PagePilot is strictly a software and sales automation tool. Quorso Tech is not a seller or reseller of the merchant's products, a bank, a Payment System Operator (PSO), a Payment Service Provider (PSP), a Mobile Financial Service (MFS) provider, a money transmitter, or an escrow agent. We do not collect, hold, process, or settle merchant sales proceeds. All payment links, mobile banking details (such as bKash, Nagad, or Rocket), and payment processing arrangements are configured directly by the merchant and operated through the merchant's chosen third-party financial providers.

2.3 Order and Payment Verification Disclaimer

While PagePilot provides automated tools to record customer orders and assist with initial order or payment verification (such as reading transaction IDs, screenshots, or delivery details provided by customers in chat), these features rely on customer-supplied inputs and automated processing. PagePilot does not verify the actual settlement of funds into your bank or MFS account, nor does it guarantee the authenticity of a buyer or a Cash-on-Delivery (COD) commitment. The merchant is solely and exclusively responsible for manually verifying actual payment receipt in their financial accounts and confirming order legitimacy before dispatching any goods.

3. Merchant Control Over AI Responses

PagePilot gives merchants direct control over whether automated responses are active for individual customer conversations.

  • Manual Takeover: Through the PagePilot application, a merchant may disable AI responses for a specific customer and take over that conversation manually. Once AI responses are disabled for that customer, PagePilot will not send automated AI replies to that customer while the setting remains disabled. The merchant is solely responsible for monitoring and responding to the customer after taking over.
  • Credit Exhaustion Pause: AI automation automatically pauses when a merchant's available credit balance reaches zero. During this pause, PagePilot will not send automated replies until sufficient credits are restored to the account. The merchant is responsible for maintaining an adequate credit balance to keep automated replies active.
  • No Reply Guarantee: PagePilot does not guarantee that a customer will receive a response when AI automation is disabled, paused due to zero credits, restricted by third-party platform limits (such as Meta's messaging window rules), or interrupted by technical issues.

4. Merchant Responsibilities

Merchants are solely responsible for the products they sell, the representations they make, and the business operations they conduct using PagePilot. You agree that you are responsible for:

  • Lawful Products: Ensuring that all goods and services you list, advertise, or sell are legal under the laws of Bangladesh and that you hold all required licenses, permits, or authorizations to sell them.
  • Catalogue Accuracy: Providing accurate, complete, and up-to-date product names, descriptions, photographs, colours, sizes, variants, prices, stock quantities, and availability information.
  • Honest Commerce: Ensuring that your product catalogue and promotional configurations do not contain fraudulent, deceptive, counterfeit, stolen, or misleading listings. (For example, if a product is described or depicted as red when the actual product delivered is blue, sole legal and financial responsibility for that discrepancy rests with the merchant.)
  • Order Fulfilment & After-Sales: Making final sales decisions, verifying payments, fulfilling orders, and managing delivery, returns, exchanges, refunds, warranties, and customer support in compliance with the Consumer Rights Protection Act, 2009 and the Digital Commerce Operation Guidelines, 2021 of Bangladesh.
  • Customer Consents: Obtaining all legally required rights, permissions, notices, and consents from end-customers to collect, process, and share their personal data and chat messages with PagePilot.
  • Platform & Legal Compliance: Complying with all applicable laws, tax obligations, intellectual property rights, and the terms and policies of connected platforms (including Meta's Commerce Policies, Messenger Platform Policies, Instagram Terms, and WhatsApp Business Messaging Policies).

PagePilot relies on data supplied by the merchant to generate responses. Processing or transmitting that data through PagePilot does not transfer responsibility for the accuracy, quality, safety, or legality of the merchant's products or listings to Quorso Tech.

5. AI-Generated Responses and Limitations

PagePilot uses automated systems to process customer inquiries and generate replies. By using the service, you acknowledge and agree to the following limitations:

  • Risk of Inaccuracy: Automated responses may occasionally be inaccurate, incomplete, outdated, or inappropriate for a particular customer inquiry. Product information and responses may also be affected by ambiguous customer messages, low-quality images, incorrect catalogue entries, unavailable data, technical issues, or third-party platform interruptions.
  • Merchant Oversight: Merchants remain fully responsible for the accuracy of their listings, the products they offer, and the commitments they make to customers. You should review your product information and business processes regularly and take over conversations manually when human judgment or intervention is necessary.
  • No Commercial Guarantees: PagePilot does not guarantee that every automated response will be correct, that every customer inquiry will receive a response, that orders processed by the service are free from buyer fraud, that a customer will make a purchase, or that using the service will increase sales or profits.

6. Credits, Pricing, and Billing

PagePilot operates on a prepaid, usage-based credit system.

6.1 Purchasing and Using Credits

Merchants purchase credits using the payment methods made available by Quorso Tech. Credits are deducted as chargeable PagePilot features are used.

  • Credits are strictly prepaid service usage units for PagePilot. They do not constitute a bank deposit, electronic money, a stored-value account, a balance of merchant sales proceeds, or a guarantee that a fixed volume of service will remain available indefinitely regardless of rate adjustments.
  • Current credit package prices, conversion rates, and feature consumption rates are published inside the PagePilot application and/or on our official website. Merchants should review current rates prior to purchasing credits.

6.2 Changes to Pricing

Quorso Tech reserves the right to change credit purchase prices, conversion rates, and credit consumption rates.

  • We will provide merchants with at least 30 calendar days' advance notice of any change to these rates through an in-app notification, email, or another direct communication channel made available by Quorso Tech. The notice will identify the revised rates and their effective date.
  • Revised rates will apply to usage occurring on or after the stated effective date and will not be applied retroactively to usage already completed. Where a revised consumption rate affects unused credits purchased before the change, the notice will explain how the revised rate will apply to those credits.

6.3 Credit Expiration

Under our current policy, purchased credits expire 180 calendar days after their date of purchase.

  • Quorso Tech may revise its credit expiration policy in the future by communicating the updated policy and its effective date through the service or pricing page. Any future change to our expiration policy will apply only to credits purchased on or after the effective date of the change and will not retroactively shorten the validity period of credits already purchased.
  • Merchants are responsible for tracking their credit balances and expiration dates within the application.

6.4 Non-Refundable Credits

All purchased credits are final and non-refundable. Credits cannot be redeemed for cash or refunded because they remain unused, expire, or are no longer needed by the merchant. This restriction applies to the maximum extent permitted by applicable law and relevant payment-provider or app-store rules. Where a refund is mandatorily required by applicable law, the statutory requirement will prevail.

6.5 Exhausted Credit Balance

When a merchant's available credit balance reaches zero, chargeable AI automation pauses immediately and automated customer replies stop. Automated replies resume only after the merchant purchases or adds sufficient credits to restore a positive balance.

7. Prohibited Use and Enforcement

You must not use PagePilot to facilitate unlawful commercial activity or to advertise, offer, or sell products or services that are prohibited by law or our service policies.

7.1 Prohibited Activities

Prohibited uses include, but are not limited to:

  • Selling illegal, contraband, counterfeit, stolen, or regulated goods without proper legal authorization (including narcotics, weapons, unauthorized pharmaceuticals, or prohibited wildlife products).
  • Facilitating illegal gambling, online betting, casino operations, lottery schemes, or related unlawful activities.
  • Cryptocurrency and Virtual Assets: Using PagePilot for cryptocurrency or virtual-asset-related activities is prohibited under our service policy. This includes cryptocurrency trading or exchange services, token issuance or sales, investment promotions, and related commercial services, regardless of whether a particular activity would be lawful in other circumstances.
  • Operating fraudulent, deceptive, pyramid, Ponzi, or scam sales schemes, or engaging in conduct that violates the laws of Bangladesh.
  • Infringing the copyrights, trademarks, or other intellectual property rights of third parties.
  • Harvesting, misusing, or unlawfully collecting customer personal data, or sending unsolicited bulk spam messages in violation of Meta or WhatsApp policies.
  • Attempting to probe, scan, reverse engineer, bypass security controls, or abuse PagePilot's systems or infrastructure.

7.2 Investigation and Enforcement Actions

Quorso Tech distinguishes between interim protective measures during an investigation and final enforcement actions following a confirmed violation:

  1. Reasonable Suspicion (Interim Suspension): If Quorso Tech reasonably suspects that an account is being used for prohibited activity or poses an immediate security, legal, or platform-compliance risk, we may temporarily suspend access to PagePilot while we investigate the matter.
  2. Confirmed Violation (Termination and Forfeiture): If Quorso Tech makes a reasonable, evidence-based determination that a merchant has engaged in prohibited use or materially violated these Terms, we reserve the right to take any or all of the following actions:
    • Permanently terminate or suspend the account's access to PagePilot.
    • Reset or forfeit the account's remaining credit balance to zero.
    • Report suspected unlawful activity and provide relevant records to appropriate law enforcement or regulatory authorities.
    • Pursue available civil remedies where warranted.

Where an account's remaining credits are reset to zero or forfeited following an evidence-based determination of prohibited use, those credits will not be refunded, to the maximum extent permitted by applicable law and relevant platform or payment-provider requirements.

These administrative enforcement actions are independent of any public legal proceedings. Quorso Tech does not adjudicate criminal guilt; criminal prosecution is a matter solely for the appropriate legal and law enforcement authorities.

8. Third-Party Platforms and Services (Meta, WhatsApp, Instagram)

PagePilot integrates with and depends upon third-party platforms and services, including Meta Platforms, Inc. (Facebook Messenger, Instagram, and WhatsApp Business), mobile financial services, and cloud infrastructure providers.

  • Independent Platform Rules: Third-party platforms operate under their own terms of service, messaging windows (such as Meta's 24-hour standard messaging window), rate limits, verification rules, and content policies. Quorso Tech does not control their operations, service availability, policy enforcement, or pricing.
  • No Liability for Social Account Restrictions: Meta and other third-party providers may rate-limit, restrict, suspend, or permanently ban a merchant's Facebook Page, Instagram account, or WhatsApp Business phone number if they detect policy violations, high block rates, or unauthorized content. Quorso Tech is not responsible or liable for any restriction, suspension, shadow-ban, or termination of your social media or messaging accounts by Meta or any third-party platform.
  • Service Interruptions: Changes to third-party platforms, outages at Meta or external providers, or revocations of platform permissions may disrupt or disable some or all PagePilot features. Quorso Tech is not liable for interruptions caused by third-party systems beyond its reasonable control.
  • Non-Endorsement: References to Facebook, Messenger, Instagram, WhatsApp, Meta, bKash, Nagad, or other third-party names and logos are strictly for identification and compatibility purposes and do not imply any official partnership, endorsement, or sponsorship by those entities.

9. Data Protection, Privacy, and Deletion

Your use of PagePilot is also governed by our Privacy Policy, which details how personal data is collected, used, and secured.

9.1 Data Protection Roles

  • Processor Role for Merchant Service Data: For personal data of end-customers processed on the merchant's behalf and in accordance with the merchant's instructions to provide PagePilot features, the merchant acts as the Data Fiduciary (or Data Controller) and Quorso Tech acts as the Data Processor, subject to applicable law, including the Bangladesh Personal Data Protection Act, 2026. The merchant is solely responsible for establishing a lawful basis for collecting end-customer data and instructing Quorso Tech to process it.
  • Independent Processing for Platform Operations: Quorso Tech may separately process limited merchant account, billing, security, fraud-prevention, and legal-compliance records for its own operational and statutory purposes where permitted or required by applicable law. Quorso Tech's role and responsibilities for that processing will be determined in accordance with applicable law.

9.2 Account, Operational Data, and Backup Deletion

A merchant may request the deletion of their PagePilot account and associated data at any time through the in-app settings or by contacting our official support channel.

  • Within 30 calendar days of receiving and verifying a valid deletion request, Quorso Tech will permanently delete the account's operational data, including customer information, conversation histories, product catalogues, inventory records, order records, and associated operational copies and backups under its control, except for the limited records expressly retained under Section 9.3.
  • Once the deletion process is completed, the deleted operational data will be permanently unrecoverable from systems and backups under Quorso Tech's control.

9.3 Limited Retention Exception

Notwithstanding an account deletion request under Section 9.2, Quorso Tech may retain a restricted subset of non-operational records only to the extent necessary and permitted by applicable law for the following purposes:

  • Categories of Retained Records: Merchant account registration identifiers, credit purchase invoices, billing and payment transaction logs, high-level system security/audit logs, and records of enforcement actions under Section 7. (Raw end-customer chat logs and merchant product catalogues are excluded from routine retention unless subject to an active legal preservation order.)
  • Purposes of Retention: Complying with statutory recordkeeping, tax, and financial audit obligations under Bangladesh law (including National Board of Revenue requirements and applicable provisions of the Personal Data Protection Act, 2026); detecting and preventing fraud or abuse; and defending against payment disputes, chargebacks, or legal claims.
  • Access Restrictions and Deletion Timeline: Any records retained under this Section 9.3 are isolated from active commercial systems, restricted strictly to authorized legal, finance, or security personnel, and permanently deleted upon the expiration of the applicable statutory retention or limitation period.

9.4 Third-Party Records

Quorso Tech cannot delete and does not control records held independently by external platforms, payment gateways, app stores, or telecommunications providers. Deleting your data from PagePilot does not delete messages, photos, or transaction records stored directly on Facebook Messenger, Instagram, WhatsApp, Meta servers, or your MFS/bank accounts. Those records remain governed by the respective third-party provider's policies.

10. Intellectual Property

  • Quorso Tech IP: PagePilot, including its software, proprietary technology, interface, branding, design elements, and related technical materials, is owned by Quorso Tech or its respective licensors, except for third-party materials and trademarks belonging to their respective owners. These Terms do not transfer ownership of PagePilot or its intellectual property to you, and grant you only a limited, revocable, non-exclusive, non-transferable right to use the service in accordance with these Terms.
  • Merchant Materials: You retain all ownership rights and responsibility for the product catalogues, photographs, descriptions, trademarks, and business data you submit to PagePilot ("Merchant Materials"). By submitting Merchant Materials, you authorize Quorso Tech to host, process, transmit, and use those materials solely as necessary to provide and operate the PagePilot service, subject to these Terms and the Privacy Policy.
  • Restrictions: You must not copy, modify, distribute, sell, lease, reverse engineer, decompile, or otherwise misuse PagePilot or its protected materials, except where permitted by applicable law or expressly authorized in writing by Quorso Tech.

11. Availability and Changes to the Service

We may update, upgrade, modify, add, or discontinue features or integrations as PagePilot evolves, including to address technical improvements, security threats, legal developments, or changes imposed by third-party platforms.

While we strive to maintain a reliable service, PagePilot is provided over the internet and relies on third-party networks. We do not guarantee uninterrupted availability, 100% uptime, error-free operation, or compatibility with every device or external platform. Nothing in this section removes any mandatory statutory rights you may hold under applicable law.

12. Suspension and Termination

  • Termination by Merchant: You may stop using PagePilot at any time, disconnect your social media pages, and request account and data deletion in accordance with Section 9.2.
  • Suspension or Termination by Quorso Tech: Quorso Tech may suspend or terminate your account in accordance with Section 7.2 if you breach these Terms, engage in prohibited activity, create security or legal exposure for Quorso Tech, or fail to pay applicable fees. Where immediate action is necessary to prevent ongoing harm, fraud, security breaches, or unlawful conduct, Quorso Tech may suspend access without prior notice.
  • Effect of Termination: Upon termination, your right to use PagePilot ceases immediately. Unused credits remain subject to the non-refund policy in Section 6.4, and credits forfeited due to a confirmed violation remain subject to Section 7.2. Sections 4, 5, 6.4, 7.2, 8, 9, 10, 13, 14, 16, and 17 will survive any termination of these Terms.

13. Disclaimer of Warranties and Limitation of Liability

13.1 "As-Is" Service Disclaimer

To the maximum extent permitted by applicable law, PagePilot and all related services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or accuracy of automated outputs.

13.2 Exclusion of Indirect and Consequential Damages

To the maximum extent permitted by applicable law, Quorso Tech (including its partners, employees, contractors, and licensors) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to these Terms or the use or inability to use PagePilot, including:

  • Loss of profits, revenue, sales, goodwill, or anticipated savings;
  • Loss resulting from inaccurate automated responses, misquoted prices, or unverified customer orders;
  • Business interruption or loss of data; or
  • Any restriction, suspension, or termination of your social media or messaging accounts by Meta or another third-party platform.

13.3 Cap on Aggregate Liability

To the maximum extent permitted by applicable law, the total aggregate liability of Quorso Tech (and its partners) to you for all claims, damages, and losses arising out of or relating to these Terms or the use of PagePilot—whether in contract, tort (including negligence), breach of statutory duty, or otherwise—will not exceed the greater of:

  1. The total amount actually paid by you to Quorso Tech for PagePilot credits during the three (3) months immediately preceding the event giving rise to the claim; or
  2. BDT 5,000 (Five Thousand Bangladeshi Taka).

13.4 Statutory Exceptions

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under the applicable laws of Bangladesh.

14. Indemnification

You agree to indemnify, defend, and hold harmless কোরসো টেক (Quorso Tech), its partners, employees, contractors, and affiliates from and against any and all third-party claims, demands, lawsuits, regulatory investigations, fines, penalties, damages, liabilities, losses, and expenses (including reasonable legal and advocate fees) arising out of or relating to:

  • Your products, services, catalogue listings, pricing, fulfilment, or business operations;
  • Any dispute, claim, or transaction between you and your customers (including claims regarding defective goods, non-delivery, misleading descriptions, or payment disputes);
  • Your breach of these Terms or violation of any applicable law, regulation, or tax obligation;
  • Your failure to obtain required consents or provide required notices to end-customers regarding data processing; or
  • Your violation of the terms, policies, or intellectual property rights of any third party (including Meta's policies for Facebook, Instagram, and WhatsApp).

15. Changes to These Terms

Quorso Tech may revise these Terms from time to time to reflect changes in our services, credit policies, operational practices, or applicable legal requirements.

Updated Terms will be published on our website and/or inside the PagePilot application, and the "Last updated" date at the top of this document will be revised accordingly. Where a revision materially affects your rights or obligations, we will provide reasonable advance notice through the application, email, or another direct communication channel (and at least 30 calendar days' notice for rate changes governed by Section 6.2). Your continued use of PagePilot after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using PagePilot.

16. Governing Law and Dispute Resolution

  • Governing Law: These Terms and any dispute or claim arising out of or in connection with them or the use of PagePilot are governed by and construed in accordance with the laws of the People's Republic of Bangladesh.
  • Informal Resolution: Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute amicably through good-faith written negotiations for a period of thirty (30) calendar days from the date a written notice of dispute is received.
  • Arbitration and Jurisdiction: If the dispute is not resolved within thirty (30) days, it may be referred to binding arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act, 2001 of Bangladesh by a single arbitrator mutually appointed by the parties (or appointed in accordance with the Act). Subject to the foregoing arbitration provision and any mandatory statutory requirements, the competent courts in Dhaka, Bangladesh shall have exclusive jurisdiction over any legal proceedings arising from or relating to these Terms.
